1. General Provisions
This document is an official public offer by Oleh Kaminskyi (hereinafter - "Provider") for legal entities and individual entrepreneurs (hereinafter - "Client") to conclude an Agreement for the provision of access to the TeamPulse SaaS platform.

2. Subject of the Offer
The Provider undertakes to provide the Client with access to the TeamPulse software (hereinafter - "Platform") for monitoring employee mental health and wellbeing, and the Client undertakes to pay for the services according to the selected pricing plan.
2.1. Services Include:
- 24/7 access to the TeamPulse web platform
- Daily/weekly employee surveys
- AI analytics and risk prediction
- Automated sociometry
- Aggregated analytics for managers and HR
- Technical support (email, chat)
- Regular updates and feature improvements
3. Acceptance of the Offer
Acceptance of this offer is considered:
- Account registration on teampulse.com
- Order confirmation or onboarding approval
- Making the first payment
From the moment of acceptance, an Agreement is considered concluded between the Provider and the Client on the terms of this offer.
4. Service Pricing

4.3. Discounts:
- Annual prepayment: -15% off price
- Teams of 100+ people: individual terms
- Non-profit organizations and educational institutions: -20% (upon request)
4.4. Additional Terms:
- Prices are exclusive of VAT (added according to applicable legislation)
- Provider reserves the right to change prices with 30 days notice
5. Payment Procedure
5.1. Payment Methods:
- Bank card (Visa, Mastercard, Apple Pay, Google Pay)
- Bank transfer via invoice (for legal entities)
- SEPA transfer (for European clients)
5.2. Billing Cycle:
- Monthly subscription: charged monthly on subscription start date
- Annual subscription: one payment for the year in advance
- Integration fee: one-time payment upon activation
5.3. Service Activation:
- Service access is granted after order confirmation and/or receipt of payment
- The scope of access is defined by the selected plan and the agreed onboarding conditions
- Automatic renewal follows the selected billing cycle unless otherwise agreed by the parties
6. Rights and Obligations of the Parties
6.1. Provider Undertakes to:
- Ensure uninterrupted access to the Platform 99.5% of the time (for Professional)
- Protect Client data in accordance with GDPR and HIPAA
- Provide technical support during business days 9:00-18:00 (CET)
- Notify about scheduled maintenance 48 hours in advance
- Regularly update and improve functionality
6.2. Client Undertakes to:
- Pay for services on time according to the selected plan
- Ensure employee consent for personal data processing
- Use the Platform in accordance with Terms of Service
- Not transfer access to third parties
- Report discovered issues or errors
6.3. Provider Has the Right to:
- Suspend access if payment is overdue by more than 14 days
- Terminate service provision upon violation of Terms of Service
- Change Platform functionality at its discretion
7. Liability of the Parties
- For late payment, a penalty of 0.1% of the debt amount per each day of delay is charged
- In case of SLA violation (for Professional), Client receives compensation in the form of credits (5% of cost per each hour of downtime beyond guaranteed level)
- Provider's maximum liability is limited to the amount paid over the last 12 months
- Provider is not liable for management decisions made by Client based on Platform data
8. Confidentiality
Personal data processing is carried out in accordance with the Privacy Policy. Parties undertake not to disclose confidential information to third parties.
9. Agreement Duration and Termination
9.1. Duration:
- Agreement takes effect from the moment of acceptance
- Valid for the selected billing cycle (month or year)
- Automatically renewed unless cancelled
9.2. Termination:
- Client can cancel subscription at any time (takes effect at end of current period)
- Provider can terminate service provision with 30 days notice
- Upon termination, personal data is deleted within 30 days (unless otherwise specified)
9.3. Refunds:
- First 30 days: full refund (money-back guarantee)
- After 30 days: no refunds except in cases of service unavailability due to Provider's fault
10. Force Majeure
Parties are released from liability for non-performance of obligations in case of force majeure circumstances (war, natural disasters, cyberattacks, hosting provider issues, etc.).
11. Dispute Resolution
All disputes are resolved through negotiations. If agreement cannot be reached - through legal proceedings at Provider's location in accordance with German law.
12. Final Provisions
- This offer is public and valid until revoked by Provider
- Provider reserves the right to make changes to the offer with 30 days notice
- Continued use of the Service after changes constitutes acceptance of new terms
- Independence of provisions: invalidity of one provision does not entail invalidity of others
